Master Service Agreement (v1)

1. Services & SKUs
Client engages Troopers for the SKU(s) selected at signature:
- Site Rebuild — $497 USD one‑time. Delivery within 7 business days from kickoff: a 4‑page mobile‑responsive auto‑shop site (Home, Services, Book Online, Contact), Google Business Profile sync, Lighthouse mobile score ≥ 85, and 3 rounds of revisions.
- Booked Leads — $99 USD/month. Inbound booking widget, call‑tracking number, weekly lead report, and minimum 8 booked appointments per month or the next month is free. 30‑day rolling cancel.
Optional add‑ons: extra page $75, photoshoot pass‑through at cost, multi‑location +$25/mo per location, bilingual EN/FR +$150 one-time.
2. Payment Terms
Site Rebuild: 50% on signature ($248.50), 50% on launch. Booked Leads: monthly in advance via Stripe ACH or card. Late fees 1.5%/mo after 10 days. All amounts USD; CAD accepted at posted Stripe FX.
3. Term & Cancellation
Site Rebuild is project-based; deliverables transferred on final payment. Booked Leads renews monthly until either party gives ≥ 7 days written notice. No long-term lock-in.
4. Ownership & License
Upon final payment, Client owns all final deliverables (copy, images, code) under a perpetual, royalty-free license. Troopers retains rights to its underlying templates, components, and lead-routing software. Stock photography licenses pass through under the originating license.
5. Performance Guarantee — Booked Leads
If, in any active calendar month, Troopers delivers fewer than 8 booked appointments tagged in the booking widget, that month's $99 fee is waived automatically on the next invoice. Bookings are counted at appointment-creation time; no-shows still count.
6. CASL & CAN-SPAM
Any outbound email or SMS sent on Client's behalf will (a) include a working unsubscribe, (b) honour opt-outs within 10 business days, (c) carry Client's physical mailing address, and (d) only target prospects with Client's stated implied or express consent basis. Client warrants its lead lists comply.
7. Data, Privacy, PIPEDA
Troopers processes appointment, contact, and tracking data solely to deliver the Service. Data residency: Canadian and US Stripe/Convex/Vercel regions. On termination, Client may export data via CSV; Troopers deletes within 30 days on written request, except logs required for billing/audit (kept 24 months).
8. Warranties & Liability
Troopers warrants Services are performed in a professional manner. EXCEPT FOR FRAUD OR WILLFUL MISCONDUCT, total aggregate liability is capped at fees paid in the trailing 3 months. No liability for lost profits or indirect damages.
9. Indemnification
Client indemnifies Troopers against claims arising from Client-supplied content (copy, photos, lists). Troopers indemnifies Client against third-party IP claims arising from Troopers-authored code or templates.
10. Independent Contractor
Troopers operates as an independent contractor. No partnership, employment, or agency is created.
11. Governing Law
Ontario, Canada. Disputes resolved by good-faith negotiation, then binding arbitration in Ottawa under the ADR Institute of Canada Arbitration Rules.
12. Entire Agreement
This MSA + the selected SKU sheet is the entire agreement and supersedes prior discussions. Amendments only via signed writing or e-signature.
